1. Acceptance of Terms

By accessing neverroffy.digital and engaging Neverroffy Digital for governance toolkit services, you agree to these Terms of Use. If you act on behalf of an organization, you represent that you have authority to bind that organization.

2. Services Description

Neverroffy Digital provides B2B governance toolkits, templates, workshops, and facilitation related to FMCG promotional operations. Deliverables are professional services and materials—not software subscriptions unless separately agreed in writing.

3. Account and Communications

You agree to provide accurate contact information. We may send service-related messages to the email you provide. Marketing messages require separate consent where required by applicable law.

4. Intellectual Property

Unless otherwise stated in a signed statement of work, Neverroffy Digital retains ownership of underlying methodologies and master templates. You receive a non-exclusive license to use delivered materials internally for your promotional governance operations.

5. Client Responsibilities

You are responsible for internal approvals, retailer relationships, and accurate data supplied to us. Delays caused by incomplete inputs may shift timelines without liability on our part.

6. Limitation of Liability

To the fullest extent permitted under the laws of the Republic of Korea, Neverroffy Digital is not liable for indirect, incidental, or consequential damages arising from use of our materials. Our aggregate liability for any claim is limited to fees paid for the specific toolkit giving rise to the claim during the twelve months before the claim.

7. Governing Law and Disputes

These terms are governed by the laws of the Republic of Korea. Courts in Busan shall have exclusive jurisdiction unless mandatory consumer protection rules require otherwise.

8. Termination and Modifications

We may update these terms by posting a revised version with a new “last updated” date. Continued use after changes constitutes acceptance.
